●  Pursuant to the Civil Code No. 91/2015/QH13 approved by the thirteenth National Assembly of the Socialist Republic of Vietnam on 24th November 2015; taking effect from 01/01/2017.

●  Pursuant to the Commercial Law No.36/2005/QH11 approved by the National Assembly of the Socialist Republic of Vietnam on 14th June 2005, entered into force on 1st January 2006;

●  Based on the needs and capabilities of both Parties.

Party A: Customer

Party B: SG Sagawa Vietnam Co., Ltd

PRICE AND THE METHOD OF PAYMENT

Party A shall make payment to Party B in Vietnam dong by Bank transfer to the account specified by Party B within 15 working days after receiving announcement from Party B with delivery receipt and VAT invoice.

In case the payment day is Saturday, Sunday, Holiday or Tet, the last payment date is on next first working day.

In case Party A does not make payment on time as agreed, Party A shall be subject to an overdue interest basing on the interest rate of Vietcombank at the time of payment delay.

RESPONSIBILITIES OF BOTH PARTIES

Responsibilities of Party A

●  To supply necessary informations to Party B, supervise and conduct Party B during working time.

●  To be responsible for the legality of consigned goods.

●  To purchase insurance for its shipments. In case Party A have the demand to buy insurance for transported cargo. Party A entrust Party B to buy insurance for the goods on behalf of Party A unless Party B has another indeas and advace notice to Party A in wiriting. In case entrusting on purchasing cargo insurance, Party A needs to provide the cargo invoice and relevant documents (if any), Party B will contact the insurance company to buy cargo insurance for Party A. The premium is recorded on the quotation confirmed by both parties and is equal to the premium from insurance company when Issuing VAT invoice.

Responsibilities of Party B

●  To provide packing materials, labors & means of transportation to Party A as their requests

●  To conduct all necessary informations and documents which Party A provides to Party B to complete procedures;

●  To supply human resource, materials and transportation to conduct services for Party A. To handle the service accrording to schedule of Party A

●  Compensate or bear all reparation fees for damage and loss of Party A’s cargoes during the performance of transportation which is caused by carelessness or mistakes of Party B (The compensation value will be based on market value). Party B is not liable for any losses or damages caused by circumstances out of control of Party B such as natural disasters, earthquake, cyclone, storm, flood or fog; Force majeure such as war, embargo, changing of state policy, accident, riots, strikes, regional disputes, dangerous situations potentially leading to the state of warinevitable reasons, which is not caused by carelessness or mistakes.

●  Toward shipment that Party A has bought insurance, Insurance company will compensate based on Insurance Law.

FORWARDING PRINCIPLE

●  Party B has to ensure to delivery full and sufficient quantity of goods as authorized by Party A.

●  Complete work as below schedule (In case of changing schedule both parties will negotiate to settle)

●  Party A appoints a person to assist Party B at the point of delivery and receive goods to count and sign the delivery receipt. From the time the parties sign the delivery receipt at the arrival place, Party B has no longer take any responsibility for the goods, and refuse to deal with any complaints later.
